I am just confused between a Board Resolution and a Secretary's Certificate. I want to know what is a Board Resolution? Difference between a Board Resolution and a Secretary's Certificate? When to issue a Board Resolution? What should be its content?
Another thing is if there was no meeting held and a resolution needs the Board's approval, do we still need to make a minutes or should we just issue a BOARD RESOLUTION indicating the approval of the said Resolutions by the Directors?
