can your previous company sue you if they already change their company name

please enlighten me attorney.. my friend is already terminated a year ago and his former company already change their name..

1. can they still sue my friend base on their previous company transaction.

2. or can he still sue his previous company if its already not existing anymore.

3. where can he ask for employees certificate if the company doesn't exist anymore.

how and why did the company change name? was it a merger? acquisition? sorry, but this can be quite technical and complicated.

atty i think at first they undergone retrenchment of employees and later on they transfer to a new address with already a new name. they have the same management but change some of its stockholders.

i'm afraid the answer lies in the articles of incorporation of the new company. whether it's a completely new corp.

atty. i verify to SEC and they registered a new name (corporation). does this mean that they (the old company) don't have anymore legal right to sue my friend.

the old company never loses its right to sue your friend except if it has been too long and depending on the basis.

you have to be clear whether they amended the articles of incorporation to have a new name or they filed a completely new set of documents and created a new company.
