The seller of the real property is a corporation. I recently found out that Quezon City hall requires payment of 2% business tax since the corporation is not engaged in sale of real property, before transfer tax can be paid.I will shoulder the transfer tax.The seller insists that they are not liable for the business tax.What is law on this? Who should pay the business tax?

are you sure it's called biz tax? sorry, i'm not familiar with local tax of qc, and this is a very specialized field.

ultimately, it is based on the agreement of the parties who will pay tax, but the law can mandate who is supposed to. check out the local tax ordinance of qc. unfortunately, there will be no transfer until it is paid for.

you can advance it to continue the transfer then file a case to collect from the seller later on.

Yes, it is called business tax.It has to be paid first by the corporation seller, before the transfer tax can be paid. I was also surprised by this requirement.
