How does one officially get out of a partnership that has been dead for almost 2 years?

Hi, just wanted to ask a question:

Around 2 years back we had started a partnership with the intent of adding legitimacy to getting work online, but about 5 months in, one of the partners verbally quit the partnership, packed his bags, and moved overseas. We considered that was it then for the partnership, it was dissolved as a partner left. We each went our own ways and assumed that was it for the short lived partnership. One of the other partners who wanted to start his own business took it upon himself to handle informing SEC of the dissolution and what not, but I found out recently that he didn't go do that as the name of the company is still registered with the SEC.

Are there any issues to this situation that I should be aware of? To officially file for dissolution would require tax documents that as far as I know do not exist since the partnership failed to generate income and existed for about 5 months.

Your help would be much appreciated. Thanks.
