the BOD's of the PTA were elected on June 21,2011,they passed a resolution dated June 30,2011 before they were sworn into office on July 4,2011, my question: is the resolution legal?

The PTA is a venue where the parents and teachers are supposed to help each other for the benefit of the children. A resolution made before sworn in office might appear irregular but not necessarily illegal at least under national laws of the Philippines as far as i know. The PTA is not a creation of the law that is governed strictly by the laws especially on matters of procedure. In my opinion, the irregularity can be waived. It can also be cured by the reintroduction of the resolution or a subsequent resolution adopting the earlier resolution. The point of contention should be "Is the subject of the resolution beneficial to the students or pupils?" If the answer is yes, then the technicality should not be given attention for after all, a bikkering among the elders over procedures that will divert attention from the more important matters would not be a good example to the children.

I hope the question is raised because there is a more important matter that is sought to be resolved. Sana po may naitulong ito. Thanks.

the content of the resolution was to authorize the disbursing officer of the school to safeguard and disburse all the funds of the PTA which is not in accordance with the provisions of Deped order #54

it is irregular but not unlawful per se and there is no cause of alarm or a meritoriuos case to question it. As you have revealed, the purpose is to safeguard the funds and there is nothing wrong with that.

In my opinion, as long as the collections and disburstments are done in accordance with simple accounting procedures and no money will be used without approval of the Board, there is no use stirring an issue out of that. A cause of concern should arise out of protest for useless spending or use of the funds in purposes other than the benefit of the memebers and the children. Otherwise, members and officers will be concerned on trivial matters and miss the real purpose of the organization.
