The board DECIDE (normaly biger things, strategies and such)

The managers try to EXECUTE what the board have decided (and normaly the board let managers decide details to avoid needing board meetings often.)

Often but not allways.
The share holders chose (=vote) the board members.
Some companies chose board member representing the employees (or it's a part of the deal with workers' union and they chose their board member.)
And some companies chose someone from outside because of knowledge.

Then the General manager is chosen (by the share holders or) mostly by the board (in big companies).
It's different in different companies who chose the other managers. It can be the general manager by himself, the board or together, but often a new general manager "inherit" other managers, although they can be replaced. Some new general managers prefer to pick his own manager "team" while others prefer to keep the managers to keep the internal knowledge at least to start with until he know himself.

I don't know what you mean with "HR".
In "Pyramid" type of organisations it's normal to have an "Office boss" who belong to the top management,
but in "Flat" organisations the Office top manager are skiped sometimes and the staff is direct under other manager(-s)

HR means Human Relation Administrator? Is she in managerial staff /top management? Our HR Administrator thinks she is on the managerial staff, is she acting right or whatever.

Each organisation do as they want, but normaly/often are
/ADMINISTRATORS staff
/but have a HR or an office MANAGER above the HR administrators.

(Back at my first full time employment
/the normal was Production manager and HR manager was same person
/but I got work as Planning manager and TEMPORARY HR manager for 50 replacement employees during vacations.

I suppouse they mean Manager is the boss and Administrator are the ones doing the work Smile
In small and middle size companies that can be ONE person being both the decider =Manager and doing the detaiiled work =Administrator.

((For instance back when I had a 70-115 people business, I did all leading and admiinistration myself. All the others worked with production or distribution.))
