Hello, I'm asking for a legal advice on this matter.

Party 1 is the land owner. Party 2 is son in law of Party 1 which is the owner of the house. Party 3 is the investor.

Party 3 and Party 2 agree to put a small banana packing plant in the area of Party 1. Party 2 together with his wife ask a permission to Party 1 to put that said packing plant with 1 peso insintive per box. Party 1 and Party 2 agree. This conversation is done without legal documents involve. Just plain talking and agreeing in good faith. Even the packing plant has no building permit at all.

Fast forward....

If the Party 2 and Party 3 vacate the area to make another packaging plant with big area and this time no insintive for Party 1, who has now the right of small packing plant? Do Party 3 has the right to demolish it because of business conflict in the future?

Hoping for an advice.

party 1,2 at 3 pa rin ang may right dun sa small packing plant pero pro-indiviso yun, meaning, hindi nilang solong pag-aari yun. co-owners silang tatlo. kung gustong palayasin ni party 1 si party 2 at 3, kailangang mag-bayad siya sa share ng dalawa, vice-versa to p2 at p3.

p3 cannot demolish what they have built without the consent of p1 at p2, kasi nga co-owners sila eh. unless kung necessary to preserve public order or during emergency (i.e. may paparating na UFO at yung property ay gawa sa kryptonite, so in order to save the world, you need to dispose the kryptonite asap.)

What if party 1 wanted to operate the plant and party 2 and 3 dont like it?

Is it viable to party 1 to just pay the expense of the plant that party 3 invest?

What if party 1 will not pay?

What's the best move of party 3 so that his expense of the plant will also be back at least a little?

if party 1 will not pay, just dissolve the partnership and reimburse each other from what they shared and what they earned. then later, setup your own company instead.
