Attorney may property po kaming magkakapatid. A portion po nito ay pinapaupahan namin. Last year mga August po ata, na offer namin to sell sa tenant yung pwesto na inuupahan nila. Nag agree naman po sila na gusto nila bilhin, pero ipapasok nila sa bangko kasi wala naman sila cash. Ang usapan mag de deposit sila sa amin, kaso hindi natuloy yung pagdedeposito nila. Yung mga dapat bayaran katulad ng pagpapagawa ng vicinity map at pasukat ay paluluwalan muna nila, pero may verbal na kasunduan kami na kung di matuloy ang bentahan for whatever reason, mag sasauli kami ng pinaluwal nila. Last March 2013, nag ask ako sa kanila kung pwede na mapaluwalan muna nila yung back taxes namin sa amilyar para makakuha ng tax clearance, kasi kailangan nila sa pag loan sa bangko. Nagbigay naman po agad sila. Pero since March, wala pa rin po update sa pag loan nila. Then early this month of May, may dapat pala i petition for cancellation sa title sabi ng bangko nila, sa nagpaluwal ulit po sila. Yung pagpapaluwal nila ay nere receive ko ay pumirma ko sa voucher as advance payment. Pero wala po kaming pinirmahan na CONTRACT TO SELL. May verbal agreement din po kami na open kami tumanggap ng ibang buyer. Middle of this month, may ahente nag inquire sa amin, in less than one week babayaran daw nila kami in cash. Bago yung second meeting with the latest buyer kinausap ko yung tenant/prospective buyer namin at sinabi kong may buyer kami na papasukin na willing magbayad ng cash. Humingi pa sya ng 2 to 3 weeks para mag raise ng pera at aantayin kung magkano ang makukuha loan nila sa bangko. Ang sagot ko ay ita try ko po, pero kasi nga po kung magbabayad ng cash at mas mataas ang offer nila, baka tanggapin na po namin. Mahigit 8 months na kami nag antay sa kanila. Hindi po ako nagbigay ng positive confirmation sa kanya na maibibigay ko yung 2 to 3 weeks. The following day nagbayad na po ng cash yung buyer. The problem came when i transferred the lease contract of the new owner dun sa tenant. Ang kinasama ng loob nya ay hindi pinagbigyan yung 2 weeks na i raise nya yung pera. Yung daw advance payment nila na ginamit namin para ma release yung tax clearance at ma clear yung title (na gagamitin nila rin para sa bangko) ay katunayan na daw po na contract to sell kaya sinasabi nila na double selling ang ginawa namin. Ang sabi daw ng lawyer nila ay dapat isang buwan pa ang ibigay na palugit sa kanila para ma raise nila yung pera. double selling po ba talaga nangyari..kasi open kami to accept other buyers at yung paluwal nila ay ibabalik sa kanila kung sakaling di kami natuloy magbenta sa kanila

A contract to sell is not the same as contract of sale.
For a double sale to exist, among the other requisites, the two sales must be valid.

It seems to me that the "kinasama ng loob" issue is not more on a double sale, but on the Option Contract.

The role of the "advance payment" is vague. The parties may have confused it's purpose. Because it may be construed, on the part of the buyer, as the consideration for the Option Period in an Option Contract kaya "sumama loob nila" nung napunta sa ibang buyer.

dear atty,
may nabili po ang father ko na lot sa isang subdivision sa bulacan to finance po ng 20 years, natapos na po ito hulugan bgo namatay ang father ko po, before he died ibinigay nya po sa akin ang lhat ng documents contract of sale, at mga resibo from dp to full payment po pr asikasuhin ang deed of sale and other documents po na dapat ay iisue ng developer sa amin, way back po nakausap ko ang developer requesting po to release the deed of absolute sale, unexpectedly sinabi po ni developer na naibenta na sa ibang developer ang buong subdivision. instead hahanapan nlnag daw kmi ng ibang lote po i decline their offer and i told them to release the deed of sale and other pertaining documents po dhil napakatagal na din po ang panahon na ibinigay namin na time pr asikasuhin nila but until now wala po response. ano po ang dapat kong gwin atty. please advise
