Arresto Menor

Corp. has exclusive rights to sell a product. Pres. (Director A) of the corp. sold the products lower than Suggested Retail Price of the corp. Dir. B saw bought the said products.
Dir. B sold it at a higher price using corp. documents and encashed the said sale. Dir. B Didn't declared the sale.
Is this a form of Estafa? Is Dir. B liable to the corp.?
