Hi Guys,

I just need an advise on this matter:

1. The President signed some agreements/contract to a supplier.
2. Now supplier are not being paid for a very big amount, and the supplier or now filing a case against the company.

Question:
1. Are board of directors liable to the case, while the agreement was signed under the name of the president and no directors engagement?


Is there an article I can read about this.
